1. Introduction

1.1  
TOKYO LIMOUSINE SERVICE, owned by SOLA INTERNATIONAL K.K. - 7-14-9 Minami Aoyama, Minato,Tokyo (hereinafter referred to as TLS) enables its users to book limousine service over its online platform (hereinafter referred to as TLS WEBSITE). TLSs services consist solely of arrangements for the rights of users to transport through a limousine service provider (TLS PARTNER) as an intermediary, rather than providing the limousine service itself.

These Terms of Use (the Terms of Service) are part of all agreements between users regarding the arrangement of limousine services via TLS.

1.2
TLS provides the limousine services presented by the TLS WEBSITE neither itself nor through third parties. TLS only arranges for the User an entitlement to carriage over a TLS PARTNER, which is independent of TLS. The User uses TLS only as an intermediate or an arranger and not as a limousine service. The compensation claim of TLS is made up of arrangement fees as well as the advance payment made by TLS to the TLS PARTNER.

By submitting a completed booking request via the TLS WEBSITE or by Email or by telephone (Ride Request of the User) to TLS the User makes an offer for the conclusion of an arrangement agreement. The purpose of this agreement is to arrange limousine services in response to Users ride request.


2. User Registration Requirements for TLS WEBSITE

2.1
It is the User’s responsibility to ensure that all information that they, or someone else on their behalf, has provided to TLS is complete and accurate. Registration using automated methods is prohibited.


3. Conditions

CHANGE ROUTE

3.1.1  AIRPORT TRANSFER
In the case of Airport transfer or Direct (Point to point )Transfer services the price quoted is valid for a pickup and drop-off address. An additional fee, according to the current price structure, accrues per stopover on the direct route.

3.1.2  HOURLY BOOKINGS
For hourly bookings, the trip must always start/end within Tokyo 23 wards. An additional fee accrues if the trip starts/ends outside Tokyo 23 wards. Hourly bookings always start at the pickup time confirmed upon booking.


ADDITIONAL COST

3.2.1  
Even after the conclusion of the arrangement agreement and even after the start of the ride, provided it is possible for the TLS PARTNER, the User (and the guest) can make changes to the Travel Arrangements.

If a ride is spontaneously lengthened (distance or number of hours) according to the wish of the User, or guest, the actual service (total distance or number of hours) will be newly calculated and priced according to the current price structure. In the case of hourly bookings, each additional 30-minute block is considered for invoicing, i.e. from the first additional minute, a half hour will be rounded up to ensure more reliable planning.

Accordingly, the compensation claim increases for the User, due to TLS’s expenses for the Contract of Carriage for the Benefit of the User increasing. If the distance or number of hours are less than originally booked, the price remains unaffected.

3.2.2  WAITING TIME
For transfer services, no surcharges are applied in the case of airport for a waiting time of up to 60 minutes after the agreed pickup time, at which flight and train delays or earlier flights and trains lead to a deferral of the scheduled pickup time by the planned period of time between the planned arrival time and the original pickup time, and up to 15 minutes from the agreed pickup time in all other cases. Each additional minute of waiting time will be calculated as a flat-rate, including VAT, according to the hourly booking prices of each vehicle.

3.2.3  EXTRA DISTANCE
Hourly bookings include 15 kilometers of usage per hour. Additional kilometers are subject to additional charges, including VAT and are calculated according to the price per kilometer of the vehicle.

3.2.4   NIGHT SERVICE CHARGE
TLS charges 25% for the bookings between 22:00-6:00.

3.3
The User can choose a vehicle brand from TLS WEBSITE for their Ride Request. The vehicle images shown in the TLS WEBSITE are only illustrative examples and Model, Year, Color & Interior may vary. 

     
TRANSPORT SAFETY, CONSEQUENCES

3.4.1  LUGGAGE, PETS
The price given in the Booking Confirmation includes the number of pieces of luggage specified on the booking form. Excess luggage, bulky luggage, or the transportation of animals not stated as an additional comment upon booking could lead to corresponding surcharges; the arrangement fee will also be higher, as stated in the Booking Confirmation.

The TLS PARTNER reserves the right to refuse the carriage of luggage and/or animals which was/were not agreed to. This also applies to animals which are not contained in a closed and suitable transport box.

3.4.2  CHILDREN
The need for safety seats for children should be requested by the User as an additional comment by specifying the number and age of children to be transported as well as the required type of seating.

3.4.3  CAPACITY
The maximum number of passengers and pieces of luggage specified for each vehicle is required by law. Therefore the TLS PARTNER can refuse the carriage of guests or luggage if they are over the capacity.

3.4.4  PREVENTION OF CARRIAGE
The TLS PARTNER reserves the right to refuse carriage if compelling (for example under applicable laws) requirements under Clause 3.4 were not at all, or not correctly, communicated by the User as an additional comment. If, due to this, carriage is not possible, this has no influence on the payment of TLS through the arrangement agreement with the User for the transportation booked.

3.4.5  
If the User or the Guests are not suitable to use TLS’s service (unpaid charges, violation of rules, use of antisocial organizations, etc.), TLS and TLS PARTNER reserves the right to refuse reservations and carriage.


DELAYS

3.5
Exceptional situations such as air-traffic controller strikes, extreme weather conditions, etc. can be compensated only to a limited extent, meaning that longer waiting periods or last-minute cancellations must be accepted by Users.


BEHAVIOR IN THE VEHICLE

3.6.1
The User and the guests are expected to conduct themselves in a manner so as not to cause injury to themselves or third parties or damage to the vehicle. Any instructions given by the TLS/TLS PARTNER must be followed. It is the responsibility of the TLS PARTNER to ensure a safe ride. It is therefore prohibited for guests to open the doors while driving, throw any objects from the vehicle, and/or stick body parts out of or shout from the vehicle. If the User wishes to use any of the devices or facilities in the vehicle, a brief instruction is required from the TLS PARTNER.

3.6.2  SMOKING
All vehicles are strictly non-smoking.

3.6.3  DAMAGE COST
If the User, or guest, ignores this, they are liable to pay not only the cost for the cleaning of the vehicle but also compensate for the loss of business due to the downtime of the vehicle. Decisions regarding the need for repairs, additional cleaning costs, or other compensation are made by TLS and the decisions are final.

TLS and the TLS PARTNER are not responsible for lost, theft or damage to items in the vehicle at any time. 

 

4. Cancellations, Booking changes and No-shows

4.1  CANCELLATION POLICY

Cancellation charges are calculated as below. 


4.2  VIS MAJOR
In the event that a major disaster such as heavy snow, typhoon, flood or earthquake occurs and we determine that safe driving is not possible, we will cancel and refund the full amount. 

4.3  CHANGES TO BOOKING
Changes to the vehicle or booking date are free of charge until 5 days prior to the booking date. (Exclude additional charges due to booking changes)From 4 days prior to the booking date, Changes to the vehicle or booking date are generally treated as new bookings. The policy for dealing with cancellations (see Clause 4.1 above) therefore applies to the ride originally agreed upon. A compensation claim by TLS for the originally agreed ride may be made accordingly. For slight changes such as booking time and pick-up/drop-off location, TLS and the TLS PARTNER will respond as much as possible. 

4.4  NO- SHOWS
In case of a no-show without cancellation, the User loses their entitlement to carriage, however this does not affect the compensation claim of TLS towards the User.

(a) Transfer Services
A ride is considered a no-show if the User, or guest, has not shown up without cancellation within 30 minutes after the agreed pickup time at the agreed pickup location. If a customer does not show up, the ride must be paid for in full, whereas possible surcharges for waiting time do not apply.

For airport pickups, the ride is considered a no-show when the User or passenger, has not shown up without cancellation or delay request within 60 minutes after the agreed pickup time(or the flight arrival time) at the agreed pickup location,and the ride must be paid for in full, whereas possible surcharges for waiting time do not apply. This rule excludes situations where the PARTNER/TLS and the guest have agreed on a later pick-up time over the phone or TLS WEBSITE. There may be additional charges due to waiting time, as described in Clause 3.2.2. Passengers generally do not have the right to change the pick-up time.

(b) Hourly Bookings
A ride is considered a no-show if the User, or passenger, has not shown up without cancellation after the expiration of the hours booked after the agreed pickup time at the agreed pickup location. If a customer does not show up, the ride must be paid for in full.

This rule excludes situations where the TLS PARTNER/TLS and the guest have agreed on a later pick-up time over the phone or TLS WEBSITE. Hourly bookings always start at the pickup time confirmed upon booking as described under Clause 3.1.2. In consequence possible extensions of the hourly booking have to be remunerated as described under Clause 3.2.1 Generally, the passenger is not entitled to change the pickup time.


5. Payment

5.1  TERMS OF PAYMENT AND TRANSACTION FEES
The User must pay for their ride by credit card or bank transfer beforehand. Incidental credit card charges are carried by TLS. Any transaction fees when making payments via bank transfer are carried by the User. For bank transfer payments, TLS requires the user to supply a credit card guarantee to secure the booking and additional payments; however there is no charge taken from the card if TLS receives the full amount correctly by bank transfer. Basically, users cannot pay for services or additional charges in cash.


6. Membership

6.1  ELIGIBILITY
Membership in TLS WEBSITE is free and available to any individual or corporate who: (a) books TLS service via TLS WEBSITE ; (b) provides valid and accurate personal information when making the ‘MY ACCOUNT’ via TLS WEBSITE; (c) is NOT or belong to antisocial organization ; (d) is over 19 years old.

6.2  EARN POINTS
All Members may earn Points from every booking as below


e.g.  With the bill of 10000yen, earns 300pts Members receive points AFTER the service. 


6.3  USE POINTS

Members can use the points earned as a discount from the next reservation via TLS WEBSITE.

Points are calcurated as below ; 
1 point = 1 yen

7. Liability

7.1  PRINCIPLES
TLS is responsible for damages caused by TLS or its agents or subcontractors due to intentional or gross negligence.

In case of damage caused by simple negligence, TLS is liable only for breach of fundamental contractual obligations and for foreseeable and typical damage. Fundamental contractual obligations are those which, when fulfilled, enable the proper execution of the contract and upon which the User can rely.

Limitation of liability does not apply in the context of an express guarantee of condition and quality, in case of intentional harm to life, body, or health, as well as claims under the Product Liability Act.

7.2  TLS WEBSITE
TLS is not responsible for the accuracy, reliability, completeness, or timeliness of the free content and programs distributed under the name of the TLS website, or any damages resulting from them. However, unless such damage is caused by intentional or gross negligence of TLS.

This applies to all types of damage. In particular, online system failures due to transmission errors, delays or interruptions, or technical equipment and service issues, inappropriate content, missing, data loss or deletion, viruses, or other uses. In addition, TLS  is not responsible for the availability and efficiency of the features provided.

7.3  WEBSITES OF THIRD PARTIES
TLS accepts no responsibility for the content, accuracy, legality and functionality of third-party websites which are referred to through links. Accessing these pages through hyperlinks is done at the risk of the User.


8. Changes, Updates

8.1
TLS reserves the right to change TLS WEBSITE in a manner appropriate to the user at any time to further develop and improve quality. In addition, TLS reserves the right to temporarily or permanently discontinue offering through TLS WEBSITE without personal notice to the user for good reason.


9. Copyright

9.1
The content contained in the TLS WEBSITE  is copyrighted. By complying with these Terms, TLS grants you the conditionally revocable right to use the TLS WEBSITE as intended. Any further use (modification, copying, re-release, transfer, distribution, or other improper purpose) is prohibited.

 

10. Final 

10.1  SUBJECT TO CHANGE
TLS reserves the right to change these Terms. Notification of changes is made as a one-sided declaration by publishing new terms on the TLS WEBSITE and notifying users of them. If the user does not object to the new terms within 10 days of the information being published, the new terms will apply to the user. Subsequent use of TLSs services will then rely on your consent to the Terms.

10.2  OFFSETTING, RETENTION, and ASSIGNMENT
The User may only offset against undisputed or legally determined counterclaims against TLS. This also applies to the Users notice of defects. The User may only exercise a right of retention, if their counterclaim is derived from the same contractual relationship. The assignment of the Users claims from the contractual relationship against third parties without the written consent of TLS is excluded.

10.3  LAW & JURISDICTION
Any and all disputes arising out of or relating to this agreement shall be referred to and finally resolve by courts in Tokyo, Japan.This agreement shall be governed and construed in accordance with the laws of Japan.

10.4  SEVERABILITY
In the event that any clause or part of a clause in this agreement shall for any reason, be determined by a court or arbitral tribunal to be invalid or unenforceable, then the remaining clauses and remaining parts of the clauses shall not be affected, impaired, or invalidated, and shall remain in full force and effect and shall continue to be binding upon the Parties.
